Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you," "your," or "Customer") and SpendTrace LLC, an Illinois limited liability company ("SpendTrace," "we," "us," or "our"), governing your access to and use of the SpendTrace website at spendtrace.io, the application at app.spendtrace.io, and any related products, features, or services we provide (collectively, the "Services").

By creating an account, starting a free trial, or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

The short version: SpendTrace is a marketing ledger for trade businesses. You give us spend and revenue data, we show you which channels are paying back. You own your data. We own the software. There's a 14-day free trial, then it's a monthly subscription that auto-renews until you cancel. Disputes go to individual arbitration in Illinois, not court. No class actions.

1. Eligibility and account registration

You must be at least 18 years old and capable of forming a binding contract to use the Services. If you are using the Services on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms, and "you" in these Terms refers to both you individually and that entity.

To use most of the Services you must create an account. You agree to provide accurate, current, and complete information during registration and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at hello@spendtrace.io if you suspect unauthorized use.

2. License and access to the Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal business purposes during the term of your subscription.

You may not (and may not permit any third party to): (a) copy, modify, or create derivative works of the Services; (b) reverse engineer, decompile, or attempt to derive the source code of the Services, except to the extent applicable law expressly prohibits this restriction; (c) sell, resell, lease, sublicense, or otherwise commercially exploit the Services; (d) use the Services to build a competing product or service; or (e) remove or obscure any proprietary notices in the Services.

3. Free trial, subscriptions, and billing

In short: 14-day free trial, no credit card required. Convert to paid by adding a payment method. Subscriptions are monthly, auto-renew, and billed in advance through Stripe. Cancel anytime to stop future charges. No refunds for charges already billed.

Free trial

We may offer a 14-day free trial of the Services. During the trial, you may access the Services without charge. We do not require a payment method to start the trial. At the end of the trial, your access to paid features will end unless you start a paid subscription.

Subscriptions

Paid subscriptions are billed on a monthly basis. The current price and feature set of each plan are shown at signup and within the Services. By starting a paid subscription, you authorize us (and our payment processor) to charge your payment method the applicable subscription fee on a recurring monthly basis until you cancel.

Auto-renewal

Your subscription automatically renews each month for an additional one-month term at the then-current price for your plan, unless you cancel before the renewal date. We may change pricing for future renewals on at least thirty (30) days' advance notice; if you don't agree to the new price, you can cancel before the next renewal.

Billing and payment processor

All payments are processed by Stripe, our third-party payment processor. By providing payment information, you agree to Stripe's terms and authorize us to share that information with Stripe as needed to process payments. We do not store full payment card numbers ourselves. See Stripe's privacy notice for details.

Taxes

Fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, except for taxes based on our net income. You are responsible for paying all applicable taxes associated with your subscription.

No refunds

All fees are non-refundable. We do not provide refunds or credits for partial subscription periods, unused time, or downgraded plans. Canceling a subscription stops future charges; it does not refund past charges.

Failed payments

If a payment fails, we may retry the charge, suspend your access to paid features, or terminate your subscription. You agree to keep your payment information current and to resolve any failed payments promptly.

4. Cancellation and termination

Cancellation by you. You may cancel your subscription at any time from your account settings or by emailing hello@spendtrace.io. Cancellation takes effect at the end of your current billing period. You retain access to paid features until that date.

Termination by us. We may suspend or terminate your account or access to the Services, in whole or in part, at any time and without prior notice if: (a) you breach these Terms; (b) we are required to do so by law; (c) we reasonably believe your use creates risk for SpendTrace, other customers, or third parties; or (d) we decide to stop offering the Services. We will use reasonable efforts to notify you in advance where practical.

Effect of termination. Upon termination, your right to use the Services ends immediately. You may export your data before termination as described in Section 6. Sections that by their nature should survive termination (including Section 7, Section 10, Section 11, Section 12, and Section 13) will survive.

5. Acceptable use

You agree not to use the Services to:

Violate any applicable law, regulation, or third-party right (including intellectual property and privacy rights).
Upload, submit, or transmit any content that is unlawful, infringing, defamatory, fraudulent, harassing, or otherwise objectionable.
Send spam, phishing messages, or other unsolicited communications.
Introduce viruses, malware, or other harmful code into the Services.
Attempt to gain unauthorized access to the Services, other accounts, or any system or network connected to the Services.
Interfere with or disrupt the Services, including by overloading, flooding, or scraping the Services beyond reasonable use.
Use automated means (bots, crawlers, scrapers) to access the Services, except for standard search engine indexing of public pages.
Resell, redistribute, or provide the Services to third parties as a service.
Misrepresent your identity, affiliation, or business.

We may investigate and take appropriate action against suspected violations, including removing content, suspending or terminating accounts, and cooperating with law enforcement.

6. Your data and content

You own your data. Any data, content, or information you submit, upload, or transmit to the Services ("Customer Data") remains yours. We claim no ownership interest in Customer Data.

License to operate the Services. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, copy, transmit, display, and otherwise use Customer Data solely as necessary to provide the Services to you, to maintain and improve the Services, to comply with law, and to enforce these Terms. This license ends when Customer Data is deleted from the Services, except to the extent we are required by law to retain it.

Aggregated and de-identified data. We may create aggregated or de-identified data from Customer Data that does not identify you or any individual, and may use this aggregated or de-identified data for any lawful purpose, including improving the Services and publishing benchmark insights.

Backups and data export. We perform reasonable backups of the Services. You are responsible for maintaining your own backups of Customer Data. While your account is active and for a reasonable period thereafter, you may export your data through the Services or by contacting us at hello@spendtrace.io.

Deletion. Upon account termination, we will delete or anonymize Customer Data within a reasonable period, subject to our retention obligations under applicable law. See our Privacy Policy for more detail.

7. Intellectual property

The Services, including all software, designs, text, graphics, logos, trademarks, and other content (other than Customer Data), are owned by SpendTrace or our licensors and are protected by U.S. and international intellectual property laws. Except for the limited license granted in Section 2, these Terms do not transfer any intellectual property rights to you.

Feedback. If you send us suggestions, ideas, or feedback about the Services, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use that feedback for any purpose, without compensation or attribution.

8. Third-party services

The Services may integrate with or link to services provided by third parties (for example, Stripe for payment processing). Your use of those third-party services is governed by their terms and privacy policies, not these Terms. We are not responsible for the availability, accuracy, or content of third-party services. We are not a party to your agreements with third parties.

9. Service availability and changes

We work to keep the Services available, but we do not guarantee uninterrupted, timely, secure, or error-free operation. The Services may be unavailable due to scheduled maintenance, updates, outages, or causes outside our reasonable control.

We may modify, suspend, or discontinue the Services (or any feature) at any time. We will use reasonable efforts to notify active subscribers of material changes that adversely affect their use of the Services.

10. Disclaimer of warranties

The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, SpendTrace disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Services will meet your requirements, that they will be uninterrupted, timely, secure, or error-free, or that the information or results obtained from the Services will be accurate or reliable.

SpendTrace is a tool for tracking marketing spend and revenue by channel. The Services do not provide financial, tax, legal, or accounting advice. You are solely responsible for your business decisions and should consult qualified professionals where appropriate.

11. Limitation of liability

To the maximum extent permitted by law, in no event will SpendTrace or its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business, lost data, or business interruption, arising out of or relating to these Terms or the Services, even if SpendTrace has been advised of the possibility of such damages.

SpendTrace's total cumulative liability arising out of or relating to these Terms or the Services will not exceed the greater of (a) the total fees you paid to SpendTrace for the Services in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

The limitations in this section apply to the maximum extent permitted by law, even if any limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless SpendTrace and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) Customer Data; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party right. We may assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.

13. Governing law and dispute resolution

In short: Disputes are resolved by individual arbitration in Illinois under AAA rules. You and SpendTrace both waive the right to a jury trial and to bring or join class actions.

Governing law

These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Informal resolution

Before filing a claim, you agree to try to resolve the dispute informally by emailing hello@spendtrace.io with a written description of the dispute and the relief you seek. We will try to resolve the dispute by negotiating in good faith for at least thirty (30) days before either party may initiate arbitration.

Binding arbitration

You and SpendTrace agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules and Consumer Arbitration Rules where applicable. The arbitration will take place in Cook County, Illinois, or another location mutually agreed by the parties. The arbitrator's award will be final and binding, and judgment may be entered on it in any court of competent jurisdiction.

Class action waiver

You and SpendTrace agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

Exceptions

Either party may bring an individual action in small-claims court for disputes within that court's jurisdiction. Either party may also seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information, without first proceeding to arbitration.

Jury trial waiver

To the extent any dispute proceeds in court rather than arbitration, you and SpendTrace each waive any right to a jury trial.

Opt out

You may opt out of the arbitration agreement and class action waiver in this Section 13 by emailing hello@spendtrace.io with the subject line "Arbitration Opt-Out" within thirty (30) days of first accepting these Terms. Your opt-out notice must include your name, account email, and a statement that you wish to opt out. Opting out will not affect any other provision of these Terms.

14. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the current version. If we make material changes, we will give you reasonable advance notice by email to the address associated with your account or by posting a prominent notice in the Services. Material changes take effect at the start of your next billing cycle after the notice, unless a longer notice period is required by law. Your continued use of the Services after a change takes effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must cancel your subscription before they take effect.

15. Miscellaneous

Entire agreement. These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and SpendTrace regarding the Services and supersede any prior agreements.

Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, financing, or sale of assets.

Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. Any waiver must be in writing and signed by SpendTrace.

No third-party beneficiaries. These Terms do not create any third-party beneficiary rights.

Force majeure. Neither party will be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, labor disputes, government action, internet or utility outages, or pandemics.

Relationship. You and SpendTrace are independent contractors. These Terms do not create any partnership, joint venture, agency, employment, or franchise relationship.

Notices. We may give you notices by email to the address associated with your account, by posting in the Services, or by any other reasonable means. You may give us notices by emailing hello@spendtrace.io.

Export and U.S. government. The Services are intended for use in the United States. You agree to comply with applicable export-control laws. If you access the Services from outside the U.S., you do so on your own initiative and are responsible for compliance with local laws.
